Terms of Use and Service

These Terms govern access to and use of Gendaize by professionals, organizations and their authorized users. By creating an account, subscribing to a plan or continuing to use the service after being notified of a new version, you enter into this agreement with Gendaize.

Anyone accepting on behalf of an organization represents that they have authority to bind it. End customers served by an organization do not become Gendaize subscribers merely by using a public portal, submitting a form or booking an appointment.

You must provide accurate information, protect your credentials, use unique passwords and promptly report any suspected unauthorized access. Accounts are personal, and each organization must grant professionals and staff only the access they need and revoke it when no longer required.

The organization is responsible for configuring roles, permissions, services, prices, schedules and other operational information entered by its authorized users, and for reviewing their actions.

To the extent permitted by law, the organization and user are responsible for access, changes, disclosures and harm arising from password sharing, credential reuse, phishing, unsecured devices or delayed revocation of access under their responsibility. When an incident results from the exclusive fault of the user, organization or a third party, Gendaize will not be liable, without prejudice to investigating any security failure attributable to Gendaize itself.

Gendaize provides scheduling, CRM, forms, documents, notifications, automations, billing, integrations and other features described in current plans. Features, limits and availability may vary by plan, region, platform and contracted integration.

Gendaize is an operational support tool and may contain errors, inaccuracies, failures, delays, unavailability or loss of functionality. The service is provided as available, without warranties of continuous or error-free operation or fitness for a particular purpose, to the maximum extent permitted by law.

We may perform scheduled or emergency maintenance, correct failures, change infrastructure and evolve features. We do not guarantee uninterrupted availability and are not liable for interruptions caused by internet access, customer equipment or systems, app stores, integrations, third-party providers, unavoidable external attacks, force majeure or events beyond our reasonable control.

The organization must not use Gendaize as the sole means of storing essential information or performing critical, emergency or interruption-intolerant activities. The organization must verify data and output, maintain contingency procedures and preserve independent records where needed. Availability targets, recovery times, credits or service levels apply only when set out in a specific written agreement.

Prices, billing cycles, limits, trials and add-ons are those displayed at purchase. Taxes, usage credits, third-party services or overages may be charged separately when disclosed before purchase.

Cancellation prevents future renewals and follows the paid period and rules shown in the subscription flow. Nonpayment, chargebacks or payment failures may restrict or suspend features without eliminating accrued obligations.

The organization determines which customer data to enter and the purposes of its service. In that context, it normally acts as controller and Gendaize as technology processor, without prejudice to situations where each party processes data for its own purposes.

The organization must have a lawful basis, inform data subjects, respect their rights, restrict access and avoid entering excessive or unlawful data. Health, document, messaging or artificial intelligence features must be configured and reviewed by qualified people.

You may use Gendaize only for lawful purposes related to your activity. You may not access accounts without authorization, bypass limits, distribute malware, commit fraud, harassment or discrimination, infringe third-party rights, send messages without a lawful basis or misuse provider integrations.

You may not copy, resell or exploit the software beyond plan permissions, reverse engineer it where prohibited by law, or use the service in a way that could compromise security or availability.

You remain responsible for data, text, images, documents and instructions entered into Gendaize and grant the technical permissions necessary to store, process and transmit them to provide the service.

Automation and artificial intelligence output may be inaccurate and requires human review before material decisions. WhatsApp, email, payment, mapping, storage and app-store integrations are also subject to their providers' terms, limits and availability.

Gendaize and its components, marks, interfaces, documentation, code, models, integrations, methods, know-how and features remain protected by their owners' rights. A subscription grants a limited, revocable, non-exclusive and non-transferable right to use the service during the subscription term.

The organization's own data, marks, text, images, documents and other content remain under its ownership. The organization grants only the permissions required to process them in providing the service.

Unless expressly stated in a specific proposal or agreement, suggestions, feedback, configurations, integrations, improvements, developments and customizations requested or funded by an organization will be incorporated into Gendaize and do not transfer ownership of the software or exclusivity over the feature to that organization. Payment compensates development or the contracted right of use and does not assign intellectual property.

Gendaize may reuse, adapt, license and commercialize generic components, know-how and features for other customers, including those originating from a customization request, without disclosing or transferring personal data, confidential information, marks, content or rules exclusively identifiable with the requesting organization. Any exclusivity or assignment of rights requires a specific written agreement.

The Privacy Policy explains personal-data processing, controller and processor roles, required sharing, security measures and data-subject rights. The Data Removal procedure explains how to submit a request and which records may remain for legal, security, audit or legal-claims purposes.

Those documents are incorporated into these Terms by reference. Acceptance of the Terms and acknowledgement of the Policy do not replace specific consent where the law requires a separate and revocable choice.

We may suspend or terminate access for breach of these Terms, security risk, unlawful use, nonpayment or an order from a competent authority. When reasonable and safe, we will provide notice and an opportunity to cure.

After termination, data may be deleted or retained under the Privacy Policy, Data Removal procedure and applicable legal obligations. The organization must export necessary information before the available access period ends.

Gendaize is a support tool and does not replace human verification, professional judgment, internal controls, independent records or the organization's business-continuity plan. The organization assumes the risks of decisions, commitments and operations based on service data, alerts, automations or output without appropriate review.

To the maximum extent permitted by law, the mere occurrence of an error, unavailability, delay, interruption, integration failure, or loss or corruption of data does not automatically create a duty to compensate. Liability depends on proof of direct harm, causation and conduct attributable to the responsible party.

Gendaize is not liable for acts or omissions of users and professionals, inaccurate or unlawful data entered by the organization, third-party failures, credentials compromised under the customer's responsibility, professional decisions, loss of revenue or billing, customers or appointments, lost profits, loss of opportunity, reputation, anticipated savings, business interruption, data reconstruction costs, or any indirect, consequential, special, punitive or exemplary damages, to the maximum extent permitted by law.

Where direct liability is proven to be attributable to Gendaize, aggregate liability for all related events is limited to the total amount actually paid by the organization to Gendaize during the three months immediately preceding the event giving rise to the claim. Free or trial accounts have no contractual compensation, without prejudice to mandatory rights under law.

The exclusions and limit above do not apply to the extent prohibited by law and do not exclude liability that cannot be limited by contract. Nothing in these Terms excludes mandatory rights under Brazilian law, including consumer-protection and personal-data-protection rules where applicable.

The organization will indemnify Gendaize against third-party claims arising from the organization's content, instructions, communications, data processing, unlawful use, breach of these Terms or credentials under its responsibility, in proportion to its participation in the event and to the extent permitted by law.

We may publish new versions to reflect legal, security or service changes. Material changes will receive a new version and may require renewed acceptance and acknowledgement before continued use.

Brazilian law applies. Disputes will be heard by the competent court under applicable law, preserving the consumer's home forum where required. Questions may be sent to suporte@gendaize.com.br.
